Happiest Minds Technologies is merging its wholly-owned subsidiary, Aureustech Systems, into the parent company.

This aims to simplify management, cut costs, boost integration, and strengthen financial position through resource pooling and operational synergies.

Aureustech has a paid-up capital of ₹0.10 Cr and turnover of ₹10.38 Cr (as of June 30, 2025). Happiest Minds reports a paid-up capital of ₹30.45 Cr and turnover of ₹4,0241 Lakhs.

Since Aureustech is a wholly-owned subsidiary, no new shares will be issued, ensuring no change in Happiest Minds' shareholding.

The merger awaits statutory approvals.
