Happiest Minds Technologies is progressing with the amalgamation of its wholly-owned subsidiary, Aureustech Systems Private Limited.

The National Company Law Tribunal (NCLT), Bengaluru Bench, has issued a key order, granting dispensation from holding shareholder and creditor meetings for both companies.

This streamlines the merger process significantly.

As Aureustech is a wholly-owned subsidiary, this amalgamation represents an internal restructuring and is not expected to cause any shareholding dilution for existing Happiest Minds investors.

This move aims to simplify the corporate structure.
