Veranda Learning Solutions promoters, Kalpathi S Aghoram, Kalpathi S Ganesh, & Kalpathi S Suresh, pledged a total of 69 lakh shares on March 2, 2026. This accounts for 7.20% of the company's total share capital.

The shares were pledged as security for financial facilities: 39 lakh shares to RBL Bank for Veranda XL Learning Solutions and 30 lakh shares to SBI Cap Trustee (for City Union Bank) for Veranda Learning Solutions.

This move encumbers a significant part of promoter holding to secure funding.
