Amalgamation/Merger

MosChip Technologies has secured NCLT approval for the merger of its wholly-owned subsidiaries, Softnautics Inc. and Softnautics Private Limited, effective April 4, 2025. This strategic move aims to streamline MosChip's corporate structure, optimize costs, and boost operational efficiency by consolidating similar businesses under one roof.

With no new shares being issued, there's no dilution for existing shareholders.

This amalgamation is expected to strengthen the MosChip brand and accelerate future growth.

While previous tax liabilities remain subject to authorities, the NCLT views the scheme as fair and reasonable.
